    Pan Pacific Aggregates PLC ("the Company")
    Results of Shareholders' Meeting
    At the shareholders' meeting of the Company held today (the "Meeting"), all of Resolutions 1, 3, 4 and 5 (as set out

in the Notice issued by the Company on 2 May 2008) were passed on a show of hands.
    The Chairman of the Meeting had been appointed to act as proxy for the holders of (in aggregate) 59,507,832 ordinary

shares in the capital of the Company. All of such proxy instructions instructed the Chairman to vote in favour of the

Resolutions, save for one (which related to 15,000 shares) which gave the Chairman discretion as to how he voted on the

Resolutions.
    As announced on Wednesday 21 May, Resolution 2 set out in the Notice, which related to the consolidation of the

Company's share capital, has been deferred until the Company's next AGM and accordingly such Resolution was not proposed

to the Meeting.
